Terms and Conditions

 

Please read these Terms and Conditions (“Agreement”) carefully before engaging the services provided by LexDexSolutions (“Firm,” “we,” or “us”). This Agreement sets forth the terms and conditions governing the relationship between the Firm and the client (“you” or “client”) in connection with the services to be provided by the Firm. By engaging our services, you agree to be bound by the following terms and conditions:

  1. Scope of Services:a. The Firm agrees to provide services as agreed upon and discussed with the client. The scope of services will be detailed in a separate written agreement, engagement letter, or statement of work.

    b. The Firm reserves the right to decline representation or withdraw from representation at any time for any reason permitted by applicable law.

  2. Firm-Client Relationship:a. The engagement of our services does not create a Firm-client relationship until a separate written agreement is signed by both parties.

    b. Communications with the Firm, including via email or any other form of communication, do not create a Firm-client relationship unless expressly agreed upon in writing.

    c. Confidentiality obligations between the client and the Firm will commence once the Firm-client relationship has been established.

  3. Fees and Billing:a. The client agrees to pay the Firm for the services provided at the agreed-upon rates and according to the billing schedule specified in the separate written agreement or engagement letter.

    b. Any additional costs, will be the responsibility of the client unless otherwise agreed upon in writing.

    c. The Firm reserves the right to require an upfront retainer or to request periodic payments as specified in the separate written agreement or engagement letter.

  4. Confidentiality and Data Privacy:a. The Firm agrees to maintain the confidentiality of all client information and to comply with applicable laws and regulations regarding data privacy.

    b. The client acknowledges and agrees that the Firm may collect and process personal information necessary for the provision of services, in accordance with the Firm’s Privacy Policy.

  5. Conflict of Interest:a. The client acknowledges that the Firm may have existing or future relationships with other clients that could create conflicts of interest. The Firm will promptly disclose any such conflicts to the client.

    b. The client agrees to promptly disclose any potential conflicts of interest with the Firm to enable the Firm to assess whether it can continue providing services.

  6. Termination:a. Either party may terminate the Firm-client relationship upon written notice to the other party, subject to any ethical and legal obligations.

    b. Upon termination, the client agrees to promptly pay any outstanding fees and expenses owed to the Firm up to the date of termination.

  7. Limitation of Liability:a. The Firm’s liability, if any, for any claims arising out of or in connection with the provision of legal services shall be limited to the amount paid by the client for those specific services.

    b. The Firm shall not be liable for any consequential, indirect, or incidental damages arising out of or in connection with the provision of services.

  8. Governing Law and Jurisdiction:a. This Agreement shall be governed by and construed in accordance with the laws of England and Wales.

    b. Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of England and Wales.

  9. Entire Agreement:This Agreement, together with any separate written agreement, engagement letter, or statement of work, constitutes the entire agreement between the client and the Firm and supersedes any prior understandings or agreements, whether oral or written, relating to the subject matter herein.
