Terms and Conditions for Privacy Consultations and DSAR Services

Welcome to LexDex Solutions. These Terms and Conditions (“Terms”) govern the provision of privacy consultation and Data Subject Access Request (“DSAR”) services (“Services”) by LexDex Solutions Ltd (“LexDex Solutions,” “we,” “us,” or “our”). By purchasing or using our Services, you agree to be bound by these Terms. If you do not agree with these Terms, please do not use our Services.
- Definitions
1.1 “Client” means any individual or entity purchasing or using our Services.
1.2 “Services” refer to the privacy consultation and DSAR services offered by LexDex Solutions as described on our website and in individual service agreements.
1.3 “Agreement” means these Terms and any other documents expressly incorporated by reference.
1.4 “Consultation Pack” means a bundle of consultancy hours offered by LexDex Solutions with a specified validity period.
1.5 “Free Templates” means pre-prepared legal documents provided by LexDex Solutions at no additional cost as part of certain Services.
- Services Offered
2.1 LexDex Solutions provides a range of privacy consultation and DSAR services, including but not limited to:
2.1.1 Privacy consultations for businesses
2.1.2 Data Subject Access Request (DSAR) processing
2.2 Specific service descriptions, including scope, duration, and costs, are provided on our website and in individual service agreements.
- Service Availability
3.1 Services are subject to availability and may be modified or discontinued at our discretion. We reserve the right to update or change our Services without prior notice.
3.2 We will endeavor to inform clients in advance of any significant changes to the Services.
- Payment Terms
4.1 Fees: All fees for Services are as outlined on our website or in the specific service agreement.
4.2 Payment: Payment for Services must be made in advance of providing the Service unless otherwise agreed in writing.
4.3 No Return Policy: All Services are non-refundable. Once purchased, fees for Services are non-refundable regardless of whether the Service is used or not.
4.4 Taxes: All fees are exclusive of applicable taxes, which will be added to the total amount payable by the Client.
- Consultation Packs
5.1 Validity Period: For consultation packs with a specified validity period (e.g., 3 months):
5.1.1 Usage: Services must be used within the validity period specified in the pack purchase. Unused hours or consultations will expire at the end of the validity period.
5.1.2 No Remuneration: There will be no remuneration or credit for unused hours or consultations after the validity period has expired.
5.2 Booking: Consultation hours must be booked in advance and are subject to consultant availability.
5.3 Rescheduling: Clients must notify us at least 24 hours in advance if they need to reschedule a consultation. Failure to do so may result in the consultation hours being deducted from the total available hours.
- Free Templates
6.1 Eligibility: Clients purchasing certain Services may be eligible for free templates. The free templates are limited to those available in our existing database and do not include those from consultation packs.
6.2 Claiming Templates: To receive free templates, clients must email customer service at contact@lexdex-solutions.uk. Templates must be chosen from the existing database and cannot be substituted with custom or pack-based templates.
6.3 Expiry of Template Rights: Unused template rights expire if not claimed within the validity period of the related Service. No compensation or alternative will be provided for unused template rights.
- Limitation of Liability
7.1 Exclusion of Liability: To the maximum extent permitted by law, LexDex Solutions shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising out of or related to the use of our Services, including but not limited to loss of profits, loss of data, or business interruption.
7.2 Service Limitations: Our liability for any claim arising out of the provision of Services is limited to the amount paid by the client for the specific Service giving rise to the claim.
7.3 Indemnity: The Client agrees to indemnify and hold LexDex Solutions harmless from any claims, liabilities, damages, losses, and expenses, including legal fees, arising out of or in connection with the Client’s use of the Services or breach of these Terms.
- No Warranty
8.1 Disclaimer: LexDex Solutions makes no representations or warranties regarding the accuracy, completeness, or reliability of the Services. All Services are provided “as is” without warranty of any kind.
8.2 Third-Party Services: LexDex Solutions does not warrant the accuracy or reliability of any third-party services or products used in connection with the Services.
- Client Responsibilities
9.1 Cooperation: Clients are expected to cooperate with LexDex Solutions and provide all necessary information and access required for the provision of Services.
9.2 Compliance: Clients are responsible for ensuring that their use of the Services complies with all applicable laws and regulations.
9.3 Accuracy of Information: Clients must ensure that all information provided to LexDex Solutions is accurate and complete. LexDex Solutions shall not be liable for any issues arising from the Client’s provision of inaccurate or incomplete information.
- Cancellation and Termination
10.1 7-Day Cancellation Period: If you purchase our Services online, you have the right to cancel the Service within 7 days of your purchase. To cancel within this period, you must notify us in writing at contact@lexdex-solutions.uk. If the Service has already been provided within the 7-day period, you will be charged for the hours of consultation used and any free templates accessed.
10.2 Subscription Services: For subscription-based Services, clients may cancel the subscription at any time by providing written notice to LexDex Solutions. Cancellation will take effect at the end of the current billing cycle.
10.3 Termination for Cause: LexDex Solutions reserves the right to terminate the provision of Services if a client fails to comply with these Terms or any applicable laws.
10.4 Effect of Termination: Upon termination of the Services, the Client shall immediately cease using the Services and LexDex Solutions shall have no further obligation to provide the Services.
- Confidentiality
11.1 Obligations: Both parties agree to keep confidential all information disclosed by the other party in connection with the Services, except where disclosure is required by law or necessary to perform the Services.
11.2 Non-Disclosure: Neither party will disclose any confidential information to third parties without the prior written consent of the other party.
11.3 Duration: The confidentiality obligations shall survive the termination of the Services for a period of five years.
- Intellectual Property
12.1 Ownership: LexDex Solutions retains all intellectual property rights in any materials provided or developed in connection with the Services.
12.2 License: Clients are granted a limited, non-exclusive, non-transferable license to use materials provided by LexDex Solutions solely for the purpose for which they were provided.
12.3 Restrictions: Clients shall not reproduce, distribute, or create derivative works from any materials provided by LexDex Solutions without our prior written consent.
- Force Majeure
13.1 Definition: Neither party shall be liable for any failure to perform its obligations under these Terms if such failure results from circumstances beyond its reasonable control, including but not limited to acts of God, war, or industrial disputes.
13.2 Notice: The affected party must notify the other party as soon as possible of the occurrence of a force majeure event and use all reasonable efforts to mitigate the effects of the event.
- Governing Law
14.1 Jurisdiction: These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
- Severability
15.1 Invalid Provisions: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
15.2 Reformation: If any provision is deemed invalid, the parties shall agree to a valid provision that closely approximates the intent of the invalid provision.
- Entire Agreement
16.1 Complete Agreement: These Terms, together with the applicable Privacy Policy, constitute the entire contract (“Agreement”) between LexDex Solutions and the Client (“Buyer”).
16.2 Supersession: This Agreement supersedes all prior or contemporaneous communications, proposals, agreements, or representations, whether oral or written, concerning the subject matter of this Agreement.
16.3 Acceptance: By purchasing or using our Services, the Client acknowledges and agrees that they have read, understood, and accepted these Terms and the applicable Privacy Policy, forming a legally binding contract between LexDex Solutions and the Client.
16.4 No Reliance: The Client confirms that they have not relied on any statements, promises, or representations made or given by or on behalf of LexDex Solutions that are not set out in this Agreement.
16.5 Modifications: Any modifications or amendments to this Agreement must be in writing and signed by authorized representatives of both parties to be effective.
- Changes to Terms
17.1 Modifications: LexDex Solutions reserves the right to amend these Terms at any time. Any changes will be posted on our website, and continued use of our Services constitutes acceptance of the updated Terms.
17.2 Notification: Clients will be notified of any significant changes to these Terms via email or through a prominent notice on our website.
